SPRINTIQ FOR JIRA

Terms of Service

  • Draft revision: October 21, 2026
  • Effective date: October 26,2026

1. Parties and Acceptance

These Terms of Service ("Terms") govern use of SprintIQ for Jira ("SprintIQ" or the "Service"), supplied by EduQuencher, Inc. ("EduQuencher," "we," or "us") to the person or organization that installs, subscribes to, or uses it ("Customer," "you," or "your"). A person accepting on behalf of an organization represents that the person has authority to bind it.

By accepting these Terms through an applicable installation, checkout, or acceptance process, Customer agrees to them. If Customer does not agree, it must not use SprintIQ. These Terms operate alongside applicable Atlassian Marketplace purchasing terms and the Privacy Policy; a signed order or mutually agreed enterprise agreement controls to the extent it expressly supersedes these Terms.

2. Service and Platform

SprintIQ is a Forge-based Jira analytics application providing sprint, velocity, backlog, capacity, throughput, defect, team trend, and forecasting reports, along with AI-assisted insights. Feature availability may vary by subscription, Jira configuration, and supported integration. EduQuencher may change functionality for security, legal, technical, or product reasons and will provide commercially reasonable notice of material adverse changes where feasible.

SprintIQ relies on Atlassian services, Forge platform functionality, applicable Jira API permissions, and platform usage limits. Service features and performance can be affected by Atlassian API rate limits, Forge execution or storage quotas, licensing or availability, or changes to third-party systems. Customer acknowledges that such limits can delay or restrict functions.

3. Eligibility and Authorized Users

Only authorized Jira users and organizations with legal authority to use the connected Jira environment may access SprintIQ. Customer is responsible for user authorizations, Jira permissions, and use in accordance with internal policies and applicable law.

4. License and Restrictions

Subject to compliance with these Terms and applicable subscription entitlements, EduQuencher grants Customer a limited, nonexclusive, nontransferable, non-sublicensable license to access and use SprintIQ for its internal business purposes during the applicable term.

Customer shall not resell or sublicense SprintIQ; knowingly introduce malicious code; attempt unauthorized access; circumvent license or security controls; interfere with other tenants; or copy or reverse engineer the application except where applicable law expressly permits.

Customer may conduct security assessments only to the extent permitted by applicable law and relevant Atlassian policies, with reasonable coordination with EduQuencher when testing could affect the Service or other customers.

5. Customer Responsibilities

Customer will obtain all rights, notices, permissions, and authorizations necessary for SprintIQ to process its selected Jira data, configure Jira access appropriately, manage employee access, and use reports lawfully. Customer remains responsible for the accuracy and suitability of its Jira source data and for its own decisions based on reports or AI-generated recommendations.

Customer shall not provide passwords, payment details, or unnecessarily sensitive records through support communications and shall promptly contact support@sprintiq.eduquencher.com about suspected unauthorized use or security issues.

6. AI Features and Human Review

SprintIQ offers AI-generated insights through Amazon Bedrock using the Anthropic Claude Sonnet 4.5 model. Customer administrators may disable AI processing while retaining standard metrics and dashboards in upcoming releases. AI outputs may be incomplete or inaccurate and do not replace professional assessment or human review.

Customer shall not use AI output as the sole basis for decisions with significant legal or comparable effects on individuals, including hiring, termination, discipline, compensation, or promotion. AI insights are not legal, financial, medical, or other professional advice. Customer is responsible for confirming findings before relying on them.

7. Customer Data and Privacy

"Customer Data" means data furnished by or accessed from Customer’s authorized Jira environment and the reports or analytics generated for Customer based on it. As between the parties, Customer retains rights in its Jira data and its customer-specific report content. EduQuencher retains all rights in the underlying Service, algorithms, software, templates, and general methodologies.

Customer grants EduQuencher and its authorized providers a limited right to access, use, process, and transmit Customer Data to deliver SprintIQ, furnish support, maintain security, and meet legal obligations, subject to the Privacy Policy and the applicable Data Processing Agreement ("DPA"). EduQuencher does not obtain ownership of Customer Data and will not use it to train general AI models.

8. Security and Data Deletion

EduQuencher uses reasonable technical and organizational measures designed to protect information, as described in the Privacy Policy and applicable DPA. Customer acknowledges that no online service can be guaranteed absolutely secure. If a verified installation is removed, EduQuencher deletes stored customer reporting data and related backups within 3 days, subject to applicable legal-preservation obligations. Customer remains responsible for information held in its original Jira environment.

9. Ownership and Feedback

SprintIQ and all related software, source code, designs, user interfaces, trademarks, and proprietary algorithms belong to EduQuencher or its licensors. Customer does not acquire ownership of the Service. Customer grants EduQuencher a worldwide, perpetual, royalty-free, nonexclusive right to use suggestions and feedback it voluntarily supplies to improve the Service, excluding Customer Data, personal data, and confidential information disclosed in feedback without authorization.

10. Fees, Marketplace Billing, and Taxes

Marketplace billing, Paid via Atlassian. For subscriptions purchased through Atlassian Marketplace, the price, term, trials, renewal, cancellation, taxes, invoicing, and refund arrangements applicable to the order are administered under Atlassian’s ordering and Marketplace policies. EduQuencher does not override Atlassian’s licensing, trial, grace-period, payment, or refund mechanisms for these transactions.

Separate services, if any, may be ordered from EduQuencher only through a lawful and separately agreed transaction that complies with Atlassian’s Marketplace restrictions. No separate Stripe billing for the Marketplace Forge app is authorized or assumed by these Terms without Atlassian’s express written permission.

11. Support and Availability

EduQuencher provides reasonable product support through support@sprintiq.eduquencher.com. The Service may be unavailable during maintenance, network outages, Atlassian platform changes, API throttling, emergencies, and events beyond reasonable control. Any particular uptime, response-time, or service-credit promise must be set forth in a separately executed SLA or order; none is granted by these Terms.

12. Third-Party Services

Customer’s use of Jira and other Atlassian products is governed by Atlassian’s separate terms. SprintIQ also relies on AWS cloud infrastructure and Bedrock inference functionality. EduQuencher is responsible for its own performance under these Terms but does not control independently provided Atlassian services or unrelated third-party services.

13. Suspension and Termination

EduQuencher may reasonably suspend access if required by law, to respond to a material security risk, for material breach after applicable notice or cure where practicable, or for payment/license issues in accordance with the relevant billing model. Customer may uninstall or discontinue use at any time; paid-term cancellations and refunds are governed by the applicable order and Marketplace terms.

Upon termination or expiration of the customer's right to use SprintIQ, access to the service will cease. Provisions that by their nature are intended to survive termination, including confidentiality obligations, intellectual property ownership, accrued payment obligations, limitations of liability, disclaimers, and dispute resolution provisions, will remain in effect.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR ANY EXPRESS WARRANTIES IN A SIGNED AGREEMENT, SPRINTIQ IS PROVIDED "AS IS" AND "AS AVAILABLE." EDUQUENCHER DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION TO THE EXTENT SUCH DISCLAIMERS ARE LEGALLY PERMITTED.

SPRINTIQ PROVIDES ANALYTICAL AND AI-GENERATED INFORMATION THAT CUSTOMER MUST INDEPENDENTLY ASSESS BEFORE RELYING UPON IT. NOTHING IN THESE TERMS WAIVES NON-WAIVABLE RIGHTS OR OBLIGATIONS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OR LOST PROFITS ARISING FROM THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXCEPT FOR LIABILITIES THAT CANNOT LAWFULLY BE LIMITED, EDUQUENCHER’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO SPRINTIQ SHALL NOT EXCEED THE GREATER OF (A) THE SUBSCRIPTION FEES ACTUALLY PAID FOR THE APPLICABLE SPRINTIQ SUBSCRIPTION DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100. FOR MARKETPLACE PURCHASES, FEES PAID THROUGH ATLASSIAN FOR SPRINTIQ COUNT AS SUBSCRIPTION FEES UNDER THIS CLAUSE.

16. Indemnification

To the extent permitted by law, Customer will defend and indemnify EduQuencher against third-party claims directly arising from Customer’s unlawful use of SprintIQ, material violation of these Terms, or infringement resulting from content Customer lacked authority to provide, except to the extent caused by EduQuencher’s own breach, negligence, or willful misconduct. The parties will provide reasonable notice and cooperation, and settlement cannot impose obligations on a nonconsenting party without that party’s consent.

17. Export Controls

Each party will comply with applicable export controls and sanctions relating to its performance under these Terms.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflicts principles, except where mandatory law requires otherwise. The parties will first attempt in good faith to resolve disputes informally. Subject to mandatory law, courts located in New Jersey will have exclusive jurisdiction and venue over disputes arising from these Terms.

19. Changes to Terms

We may revise these Terms for operational, security, legal, or service-related reasons. We will provide appropriate advance notice of material changes where practicable and follow any applicable Atlassian Marketplace or legal notice requirements. A material change will not retroactively alter a prepaid fixed-term contractual commitment where prohibited by law or the applicable order.

20. Agreement Structure

These Terms, the Privacy Policy, an applicable DPA, and the governing subscription order together describe the parties’ relationship regarding SprintIQ. In any conflict involving personal-data processing, the DPA controls to the extent of that conflict; for Marketplace billing and licensing, controlling Atlassian requirements apply. No change to a separately signed contract is effective except as provided in that contract.
